1. Introduction
This Loyalty & Licensing Policy establishes the legal, financial, and operational framework governing the use of intellectual property created by AsOne. It sets forth the rights retained by AsOne, the conditions under which clients may use the intellectual property, and the structure of the royalties owed to AsOne based on such use. This policy applies to every client, collaborator, or third party who receives access to, distributes, commercializes, or benefits from any creative, technical, or artistic work produced by AsOne. Acceptance of AsOne’s work implies acceptance of this policy.
2. Ownership of Intellectual Property
AsOne retains full and exclusive ownership of all intellectual property created within the scope of any project, service, or contractual engagement. Intellectual property includes, without limitation, audio production, music, sound design, visual assets, digital content, branding elements, written materials, conceptual development, multimedia outputs, technical processes, and any derivative forms thereof. No transfer of ownership is granted unless explicitly stated in a separate written agreement signed by AsOne’s authorized representatives. The client is granted usage rights solely in the form of a license described in this document and does not acquire ownership or control over the intellectual property.
3. Type and Scope of License
The client is granted a perpetual, worldwide license to use AsOne’s intellectual property for commercial or non-commercial purposes as defined by the specific project agreement. This license is unrestricted in time and geography and permits continued use of AsOne’s work in any digital, physical, broadcast, distribution, or promotional form. All derivative, adapted, expanded, or repurposed uses of the intellectual property remain governed by this policy. The license is non-transferable and may not be sold, assigned, sublicensed, distributed, modified for resale, or used outside of the original intended context without prior written consent from AsOne.
4. Royalty Obligations (Author Rights Fee)
In consideration of the perpetual license granted, the client agrees to pay AsOne an annual royalty equal to ten percent (10%) of all revenue generated through the use, distribution, commercialization, or monetization of AsOne’s intellectual property. This includes all direct and indirect revenue, regardless of format, platform, or market, and applies to revenue from product sales, service income, marketing campaigns, licensing arrangements, broadcasting, streaming, digital distribution, derivative works, and any commercial activity in which the intellectual property materially contributes to profit. The royalty is calculated once per fiscal year and is payable within thirty (30) days of the client’s fiscal year-end.
5. Reporting Requirements
The client is required to provide AsOne with an annual royalty report detailing the use of the intellectual property and the revenue generated through such use. The report must include a comprehensive financial summary, including gross and net revenue, sources of income, relevant channels or platforms, usage contexts, and the royalty calculation for the year. AsOne reserves the right to request clarification, correction, or expansion of any reported information if discrepancies or omissions are suspected. The report must be delivered in a timely and transparent manner.
6. Audit Rights
To ensure compliance and accuracy, AsOne retains the right to audit any financial records related to the use of its intellectual property. This includes the right to review documentation, accounting records, sales data, distribution metrics, contracts with third parties, and any information relevant to determining the correct royalty obligations. AsOne may appoint an independent auditor at its discretion. The client agrees to provide full cooperation and access to documentation. Failure to comply constitutes a breach of this policy.
7. Breach of Policy and Consequences
Failure to submit the annual royalty report, failure to pay royalties, underreporting revenue, unauthorized sublicensing, commercial modification of the intellectual property without permission, or withholding relevant documentation constitutes a material breach of this policy. In the event of such breach, AsOne reserves the right to terminate the license immediately, require retroactive payment of all outstanding royalties, impose a penalty of twenty percent (20%) of the unpaid amount, and pursue arbitration or legal action in the relevant jurisdiction. The client remains liable for all damages resulting from misuse or unauthorized exploitation of AsOne’s intellectual property.
8. Amendments and Modification of Terms
Any amendments, exceptions, or modifications to this policy must be made in writing and signed by both the client and an authorized representative of AsOne. Verbal agreements, informal understandings, or implied permissions do not constitute valid modifications of the licensing terms. All written agreements referencing this policy automatically inherit its terms unless explicitly stated otherwise.
9. International Legal Compliance
This policy is governed in accordance with international standards for intellectual property protection, including the Berne Convention, the WIPO Copyright Treaty, and globally recognized IP regulations. Jurisdiction and dispute resolution procedures shall be defined in the individual client agreement, and may include arbitration or court proceedings depending on the governing law selected by AsOne.
10. Final Provisions
By engaging with AsOne, the client acknowledges and accepts all terms defined in this Loyalty & Licensing Policy. The client understands that licensing constitutes a right of use, not a transfer of ownership, and that royalty obligations remain active for the duration of any commercial use of the intellectual property. Continued use of AsOne’s creative work signifies continued acceptance of these terms. Compliance, transparency, and ethical usage of intellectual property are fundamental expectations under this policy.
